These Terms of Service (“Terms”) govern your access to and use of https://aegisdecision.com and the research, forecasting, analytical, decision-support, subscription, reporting, and related services made available by Aegis Decision Systems (“Aegis,” “we,” “us,” or “our”).
By accessing the website, creating an account, purchasing a report or subscription, submitting a request, or otherwise using the Services, you agree to these Terms and our Privacy Policy, Financial & Investment Disclosures, and Forecasting Disclosures.
If you do not agree, do not use the Services.
Eligibility
You must be at least eighteen years old and legally capable of entering into a binding agreement to use the Services.
If you use the Services on behalf of a company, fund, family office, government body, nonprofit organization, or other entity, you represent that you have authority to bind that entity to these Terms.
You may not use the Services if doing so would violate applicable law, sanctions, export controls, contractual obligations, or professional duties applicable to you.
The Aegis Services
Aegis provides analytical research and decision-support services. Depending on the product or engagement, the Services may include:
investment and securities research;
portfolio analysis;
business and strategic decisions;
counterparty and transaction analysis;
forecasting and probability assessment;
geopolitical and policy analysis;
scenario development;
evidence verification;
risk analysis;
custom decision reports; and
access to methodologies, analytical tools, records, or subscription content.
The precise scope of a paid report, subscription, or custom engagement is determined by the applicable product description, order confirmation, statement of work, or separate written agreement.
Aegis may use public information, licensed or third-party data, quantitative methods, artificial intelligence systems, structured analytical protocols, and human judgment to produce its work.
Decision Support — Not a Guarantee
Aegis assists users in evaluating uncertain decisions. It does not eliminate uncertainty.
Aegis reports, scores, scenarios, forecasts, probability estimates, target values, classifications, and conclusions are analytical judgments based on the evidence, assumptions, methodology, and information available at the stated information cutoff.
They are not statements of certainty, warranties, promises, or guarantees that any event, price, return, transaction, legal outcome, business result, or other predicted outcome will occur.
You remain responsible for:
evaluating the relevance of the analysis to your circumstances;
obtaining appropriate legal, tax, accounting, investment, medical, technical, or other professional advice;
conducting any additional due diligence you consider necessary; and
making and implementing the final decision.
No Execution, Brokerage, or Custody
Unless expressly stated in a separate written agreement and lawfully authorized, Aegis does not:
execute securities, commodities, digital-asset, or other transactions;
accept discretionary authority over client accounts;
take custody of client money, securities, digital assets, or other property;
act as a securities exchange, broker, dealer, bank, custodian, transfer agent, or payment intermediary;
select or retain third-party professionals on your behalf; or
guarantee execution, liquidity, pricing, financing, regulatory approval, or transaction completion.
Aegis does not receive money from users for the purpose of investing or trading that money on their behalf.
Professional and Fiduciary Relationships
Use of the public website or purchase of a standard publication does not, by itself, create an attorney-client, accountant-client, broker-customer, fiduciary, investment-advisory, or other regulated professional relationship.

Any service requiring a regulated professional relationship must be expressly identified and governed by a separate written agreement and provided only where Aegis or the applicable service provider is lawfully authorized to do so.
No communication through the website creates a professional or fiduciary relationship merely because it discusses a particular company, security, asset, portfolio, transaction, or decision.
Accounts and Security
You agree to provide accurate and current account information and to keep your login credentials confidential.
You are responsible for activity occurring through your account unless caused by Aegis’s failure to exercise reasonable security practices. You must promptly notify Aegis through the website’s Contact page if you suspect unauthorized access or misuse.
Aegis may require identity, authority, payment, compliance, or eligibility verification before accepting an order or providing certain Services.
Orders, Fees, Subscriptions, and Taxes
Prices, billing periods, included services, usage limits, and renewal terms are disclosed at the time of purchase.
By submitting payment information, you authorize Aegis and its payment processors to charge the applicable fees and taxes. You represent that you are authorized to use the selected payment method.
Recurring subscriptions continue for the stated billing period and automatically renew unless canceled before the next renewal date. Cancellation prevents future renewal charges but does not ordinarily provide a refund for the current billing period.
Except where otherwise stated at checkout, agreed in writing, or required by law:
completed reports and delivered digital products are non-refundable;
fees for custom work are non-refundable once substantive work has begun; and
unused portions of a subscription are not refundable.
Aegis may change future prices upon reasonable notice. Price changes do not retroactively alter a completed purchase.
You are responsible for taxes, duties, or similar governmental charges imposed on your purchase, excluding taxes based on Aegis’s net income.
User Requests and Submitted Materials
You may provide questions, instructions, documents, datasets, portfolio information, transaction materials, or other content (“Customer Content”) for analysis.
You retain ownership of your Customer Content. You grant Aegis a limited right to receive, store, reproduce, analyze, transform, and disclose Customer Content to service providers solely as reasonably necessary to provide, secure, maintain, and support the Services and comply with law.
You represent that:
you have the right to provide the Customer Content;
its use by Aegis as contemplated by these Terms will not violate law or another person’s rights;
it does not contain unlawfully obtained information; and
your instructions do not require Aegis to participate in unlawful conduct.
Do not submit information you are legally prohibited from disclosing, including classified information, unlawfully obtained material, or information restricted by duties owed to another person.
Customer Content is handled as described in the Privacy Policy and any applicable written confidentiality agreement.
Acceptable Use
You may not use the Services to:
violate sanctions, export controls, securities laws, privacy laws, or other applicable law;
facilitate fraud, deception, money laundering, market manipulation, insider trading, sanctions evasion, or concealment of beneficial ownership;
obtain or use material nonpublic information unlawfully;
impersonate another person or misrepresent your authority;
interfere with the security, availability, or integrity of the Services;
introduce malware or attempt unauthorized access;
scrape, extract, reverse engineer, or systematically reproduce the Services except where applicable law expressly permits it;
train, develop, benchmark, or improve a competing commercial system using Aegis materials without written permission;
present an Aegis forecast or report as a guaranteed outcome; remove source, date, cutoff, risk, conflict, or disclosure information from an Aegis report; or
redistribute or resell Aegis materials beyond the license granted with the applicable product.
Aegis may refuse, suspend, or terminate work that presents legal, security, integrity, or abuse concerns.
Intellectual Property
The website and Services—including Aegis branding, methodologies, analytical structures, taxonomies, scoring systems, report formats, prompts, workflows, databases, software, graphics, and original content—are owned by or licensed to Aegis and are protected by applicable intellectual-property laws.
This includes, where applicable, the Aegis Signal-Before-News Protocol, Formal Logic & Reproducible Quantification Protocol, Probability Ledger structures, Evidence & Data Integrity procedures, forecasting records, and related analytical systems.
Subject to payment and compliance with these Terms, Aegis grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased report or subscription content for your own personal use or your organization’s internal decision-making.
Unless expressly authorized in writing, you may not publish, sell, license, commercially redistribute, create a competing product from, or publicly represent substantial portions of Aegis materials as your own.
You may quote limited portions with accurate attribution where permitted by law, provided that the quotation does not misrepresent the report or remove material qualifications.
Feedback
If you voluntarily provide suggestions or feedback about the Services, Aegis may use that feedback without restriction or compensation, provided that doing so does not disclose protected Customer Content or violate an applicable confidentiality obligation.
Third-Party Services and Information
The Services may rely on or link to third-party data, websites, model providers, payment processors, hosting platforms, market-data services, publications, or other resources.
Aegis does not control every third-party service and does not warrant its continued availability, completeness, accuracy, security, or performance.
Third-party terms and privacy practices may apply to your interaction with those services. A link or reference does not necessarily constitute endorsement.
Service Changes and Availability
Aegis may improve, modify, replace, suspend, or discontinue parts of the Services. We do not guarantee uninterrupted or error-free availability.
Temporary interruptions may occur because of maintenance, data-provider failures, market-data interruptions, security events, model-provider availability, force majeure, or other circumstances beyond Aegis’s reasonable control.
Disclaimers of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AEGIS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND RESULTS.
AEGIS DOES NOT WARRANT THAT:
EVERY SOURCE OR DATA POINT IS ACCURATE OR CURRENT;
EVERY MATERIAL FACT WILL BE IDENTIFIED;
A MODEL OR ANALYST WILL NOT MAKE AN ERROR;
A FORECAST WILL OCCUR;
A RECOMMENDATION OR DECISION WILL PRODUCE A PROFIT OR DESIRED OUTCOME; OR
THE SERVICES WILL SATISFY REQUIREMENTS THAT WERE NOT EXPRESSLY AGREED IN WRITING.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, TRADING LOSSES, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF AEGIS ARISING FROM OR RELATING TO A CLAIM WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID TO AEGIS FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT; OR
ONE HUNDRED U.S. DOLLARS.
These limitations do not apply to liability that cannot lawfully be limited or excluded.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aegis and its owners, directors, officers, employees, contractors, and affiliates from claims, losses, liabilities, costs, and reasonable legal fees arising from:
your unlawful use of the Services;
your material breach of these Terms;
Customer Content you were not authorized to provide;
your violation of another person’s rights; or
your alteration, redistribution, or misrepresentation of an Aegis report.
Aegis will provide reasonable notice of a covered claim and may control its defense and settlement, provided that it will not agree to a settlement imposing a direct admission or non-monetary obligation on you without your consent.
Suspension and Termination
You may stop using the Services at any time and may cancel a subscription through the available account or contact process.
Aegis may suspend or terminate access if you materially violate these Terms, create a security or legal risk, fail to pay amounts due, misuse Aegis intellectual property, or use the Services for prohibited conduct.
Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, and governing law—will survive.
Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.
To the extent permitted by law, any dispute arising from or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Clark County, Nevada, and each party consents to personal jurisdiction and venue there.
Before filing a claim, the parties agree to make a good-faith effort to resolve the dispute through written notice and direct discussion for at least thirty days, unless immediate relief is reasonably necessary to prevent misuse of intellectual property, unauthorized access, or other irreparable harm.
Changes to These Terms
Aegis may update these Terms to reflect changes in law, technology, operations, or the Services.
The revised Terms will display a new effective date. If a change materially affects existing users, Aegis will provide reasonable notice through the website, account, or contact information available to us.
Changes apply prospectively unless applicable law permits and the notice expressly states otherwise.
General Provisions
These Terms, together with incorporated policies and any applicable written order or engagement agreement, constitute the agreement governing the Services.
If a separate signed agreement conflicts with these Terms, the signed agreement controls for the subject matter of that agreement.
If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.
Aegis’s failure to enforce a provision is not a waiver. You may not assign your rights or obligations without Aegis’s written consent. Aegis may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the Services.
